1. Information on how to enter form part of these Terms and Conditions. Participation in the Kaseya Automation Exchange Contest promotion (the “Promotion”) is deemed acceptance of these Terms and Conditions. Entry is only open in jurisdictions where the Promotion and Terms and Conditions comply with all laws, rules and regulations.

2. Employees of Kaseya US, LLC and any affiliates of Kaseya US, LLC (together “Kaseya”) (and their immediate families) or agencies associated with this promotion are ineligible to enter. Immediate family means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or 1st cousin.

3. The promotion opens on December 1, 2020 and will close on October 20, 2021, (the “Promotion Period”).

4. Kaseya reserves the right, at any time, to verify the validity of entries and Participants and to disqualify any Participant who submits an entry that is not in accordance with these Terms and Conditions or who tampers with the entry process. Errors and omissions will be accepted at Kaseya’s discretion. Failure by Kaseya to enforce any of its rights at any stage does not constitute a waiver of those rights.

5. One winning Participant will be chosen in accordance with the Promotion description (see https://www.kaseya.com/lp/automation-exchange-contest/ for more information) and will receive a $2,000.00 USD check. One winner will receive a $750.00 USD check for the submitting the largest number of unique, accepted Automation Exchange submissions during the Promotion Period. For the avoidance of doubt, all taxes and any other fees and costs associated with the prize are the sole responsibility of the winner. No other prizes will be available.

6. Incomplete, indecipherable or illegible entries will be deemed invalid.

7. If there is a dispute as to the identity of a Participant, Kaseya reserves the right, in its sole discretion, to determine the identity of the Participant.

8. The grand prize and most submissions winners will be chosen at the Event and notified at the Event. If the winner is not present at the time of announcement, the winner will be contacted via the email address or phone number provided. If Kaseya is unable to contact the winner within [seven] days, an alternate winner will be chosen, solely at Kaseya’s discretion.

9. Kaseya’s decision is final and will not be subject for dispute from any of the other Participants.

10. If this promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of Kaseya, Kaseya reserves the right, in its sole discretion, to the fullest extent permitted by law (a) to disqualify any Participant; or (b) to modify, suspend, terminate or cancel the Promotion, as appropriate.

11. Except for any liability that cannot be excluded by law, Kaseya (including its officers, employees and agents) excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the promotion, including, but not limited to, where arising out of the following: (a) any technical difficulties or equipment malfunction (whether or not under Kaseya’s control); (b) any theft, unauthorized access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by Kaseya) due to any reason beyond the reasonable control of Kaseya; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by a winner or Participant; or (f) use of the prize.

12. Kaseya reserves the right to interpret the terms and conditions of the promotion and will be the sole judge in any dispute. Promotion terms and conditions may be changed or varied at any time without notice. Kaseya reserves the right to terminate the promotion in whole or in part at any time without prior notice and without liability. Errors and omissions are excluded.
