Education Program Terms of Use

These Education Program Terms of Use (“Terms of Use”) govern your participation in any Education Program or Subscription offered by Kaseya (“Program”), as well as the related use of other Kaseya Products and Services such as, for example, use of a Kaseya Product to encourage hands-on learning (collectively referred to as the “Program Products“).  You agree that your participation in a Program and use of Program Products are governed by these Terms of Use, as well as the Kaseya Master Agreement into which these Terms of Use are incorporated (collectively, the “Agreement”).  Please note that, certain aspects of the Kaseya Master Agreement will not apply to the Program or Program Products as further described herein.  The order of precedence with respect to the Program and Program Products is: an Order Form for the Program; These Terms of Use; the Kaseya Master Agreement, and; those other Product Terms of Use that apply to the type of Program Products used. If you do not agree to these Terms of Use, you may not register, access or participate in the Programs.

  1.  PROGRAM AND PROGRAM PRODUCTS 
    1.   Definitions.  The term “Program” includes Documentation related to the Program.  The term “Documentation” is defined in the Kaseya Master Agreement and further includes all information and materials provided in conjunction with the Program, such as training materials, webinars, slides, videos and other presentations.  Other capitalized terms not defined in these Terms of Use have the meaning given to them in the Kaseya Master Agreement.
    2. Right to Use and Subscription. Subject to your compliance with the Agreement and the receipt by us of all Program fees, we grant you a limited, revocable, non-sublicensable, non-exclusive right and license to access and participate in the Program and to use the Program Products.  Programs may limit the time period within which you must complete the Program (“Service Subscription Term”) and except as otherwise stated, your right to use and access a Program and Program Products will be limited to the Service Subscription Term.
    3. Prerequisites.  In Kaseya’s discretion, Kaseya may require that Program participants have minimum levels of educational or field experience (“Prerequisites”).  You must be at least 16 years of age to attend any Program.  All participants must honestly confirm compliance with the Prerequisites.  Kaseya may impose or waive Prerequisites in its sole discretion.  A Student’s dishonestly with respect to Prerequisites or age is grounds for termination of a Program Service Subscription without refund.
    4.   Limited Use of Program Products.  Certain Programs may include a limited license to use Kaseya Program Products to get hands-on experience.  Unless otherwise agreed to by Kaseya in writing, such license periods will be equal to the Program Service Subscription, and will automatically terminate at the end of the Service Subscription Term.  Your rights with respect to the Program Products are further limited as follows, and such limitations supersede contrary language in the Kaseya Master Agreement or related Product Terms of Use:
      • You have no right to resell the Program or Program Products.
      • You have no right to use the Program Products for any purpose other than a learning tool.  For example, you may not use the Program Products to service customers, clients or your own organization.
      • PROGRAM PRODUCTS ARE PROVIDED AS IS WITH NO WARRANTY WHATSOEVER.  KASEYA SHALL HAVE NO LIABILITY FOR ANY DAMAGE OR LOSS CAUSED BY USE OF THE PROGRAM PRODUCTS.
    1. Curriculum of Program.  The curriculum for a Program may be provided by Kaseya for your review.  Unless otherwise stated by Kaseya, a Program will provide instruction with respect to standard computing environments and Kaseya IT solution tools.  Kaseya will not be responsible for teaching or answering questions with respect to custom environments, non-standard environments, or IT solution tools that are provided by companies other than Kaseya. Certain Programs offer training camps, instructor-led classes, and/or live classes. The Program Documentation will include all relevant information and materials to be provided by Kaseya. In the event the Program Documentation includes training camps, instructor-led or live classes, you acknowledge and agree that we will not be liable for any postponed, rescheduled or cancelled classes
  1. INFORMATION AND DATA 
    1. Protection of Program and Documentation.  The Program and its Documentation are the intellectual property and Confidential Information of Kaseya as that term is defined in the Kaseya Master Agreement.  You are prohibited from copying, sharing or disclosing the Program and its Documentation to any other person or entity.
    2. Registration Information and Program Status.  When you register for a Program, you will be required to provide certain contact and background information to Kaseya, and throughout the Program you represent that such information is accurate, and you will update it as needed. By registering for a Program, you understand and agree that Kaseya is under no obligation to commence the Program until all required contact and background information is provided, and Kaseya shall not be liable for any delay or default in the performance of its obligations under the Agreement. In the event such delay in providing such information remains unfulfilled in excess of six months, you will be required to re-purchase such Program. Further, Kaseya will compile your Program results, progress and status, for example, whether you have successfully completed a Program (“Program Status”).  Except as otherwise set forth, we will retain basic Program Status for at least five (5) years from the date your Program Service Subscription ends.  In addition, we may send your Program Status to Third Party Application(s) (as that term is defined in the Kaseya Master Agreement) for processing, such as, for example, to companies like Diploma Safe.  Please contact such third party to understand their data retention and handling policies.  By participating in a Program, you agree that Kaseya may share your information and Program Status with:
      • its Affiliates to improve the Program, facilitate statistical analysis and generally provide the Program;
      • any academic institution, employer, government organization or other such third party that paid for the Program on your behalf.
    3. Program Rules and Behavior.  You will not engage in any behavior that could compromise the accuracy of the Program Status and results of you or any other participant.  For example, you are strictly prohibited from: (i) disclosing or distributing Program exams or quizzes; impersonating another individual; modifying, reverse-engineering or altering Program Documentation such as exams, quizzes, scores or answers; submitting work or answers that are not entirely your own; or providing or receiving improper assistance during the Program.  If Kaseya reasonably believes that you have violated this section, your Program Status may be invalidated and your Subscription Service terminated without refund.
    4. Location of Information Processing.  We likely will process and store your information and Program Status in the United States and/or Canada.  If you are located in the European Economic Area, the United Kingdom or Switzerland, the Kaseya European Data Processing Addendum is incorporated into these Terms of Use. If you are a California consumer as that term is defined under the California Consumer Privacy Act of 2018 (the “CCPA”), we are a “service provider” with respect to your personal information.  We will not sell your personal information and will not retain, use or disclose such personal information for any purpose other than for those described in these Terms of Use, or as otherwise permitted by the CCPA or applicable law.
    5. Sharing Your Program Status.  We may provide you the option of having Kaseya share your Program Status with third parties for purposes of career advancement and/or job placement, such as with our managed service provider customers.  Should you choose to let us share your Program status, you hereby authorize us to do so.
  2. KASEYA UNIVERSITY PROGRAM TERMS
    1. Definition. Kaseya University is a dynamic environment where content is updated regularly to stay current with the modules of IT Complete (collectively referred to as “Kaseya University”). Kaseya University aims to refresh the certification learning paths within one month of a major product release. Kaseya University will make every reasonable attempt to retain a student’s Program Status during a release transition but is under no obligation to do so.
    2. Program Access. The Service Subscription Term and your right to use and access the Program commences once the initial welcome email is sent to the designated contact for the enrolled student, regardless of actual usage and progression of the Program. In cases where multiple student accounts are purchased, all accounts will receive the same Service Subscription Term commencement date, regardless of when the individually enrolled students begin their studies. Kaseya University Programs are delivered on a per-student basis, including the company Service Subscription. Log-ins and enrollment keys are not to be shared. Programs can be transferred from one student to another only if the original student has not started the Program. In the event a Program is transferred to a new student, the Service Subscription Term will reset to ensure the student obtains the entire Service Subscription Term of availability.
    3. Service Subscription Term Extension. Kaseya University offers a one-time extension to the Service Subscription Term, subject to the extension fee.
    4. Kaseya University Certificate of Achievement. Kaseya University Programs include one attempt to attain a Certificate of Achievement (“KCA Certification”). All students must prove their knowledge and skills to be awarded a KCA Certification, thus unsuccessful students enrolled in the Program who are unable to pass will not receive KCA Certification. Additionally, when a student is awarded a KCA Certification, it is on an individual basis, not to the company that sponsored the student. If the successful student transfers organizations, the KCA Certification will follow the individual and not reside with the originating company. Kaseya University bundles the training and certificate into the Program, and the exam will not be separated and sold individually, except in cases when a student needs to re-take the exam due to an unsuccessful attempt. The KCA Certification includes both a product version number and issuing date. While the KCA Certification does not expire, any benefit associated with the KCA Certification shall be honored for one year from the issue date, regardless of the product version.
  3. LIMITATIONS AND DISCLAIMERS
    IN ADDITION TO THE LIMITATIONS SET FORTH IN SECTION 10 OF THE KASEYA MASTER AGREEMENT, KASEYA MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE PROGRAM OR DOCUMENTATION FOR ANY PURPOSE.  KASEYA MAKES NO CLAIM, PROMISE, OR GUARANTEE ABOUT THE ACCURACY OR COMPLETENESS OF THE PROGRAM OR DOCUMENTATION, AND EXPRESSLY DISCLAIMS LIABILITY FOR ERRORS AND OMISSIONS THERETO.  KASEYA DOES NOT PROMISE ANY LEVEL OF SUCCESS OR CAPABILITIES FOR THOSE WHO COMPLETE ANY PROGRAM.  THE PROGRAM AND DOCUMENTATION MAY INCLUDE INACCURACIES OR ERRORS. KASEYA MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE PROGRAM AT ANY TIME.
