Kaseya SIEM Product Terms of Use

These Kaseya SIEM Terms (“SIEM Terms”) are hereby made a part of the Kaseya Master Agreement (the “Master Agreement”), which can be accessed here.  Further, the SIEM Components (SaaS Alerts and RocketCyber) have their own Product Terms of Use (linked below) (“Component Product Terms”), which are also incorporated herein, and into the Master Agreement, by reference.  By purchasing Kaseya SIEM, you agree to be bound by the Master Agreement, these Terms and the applicable Component Product Terms (collectively, the “Terms”).  Detailed information about each Component can be found in the Component Product Terms and Specifications.  Capitalized terms not defined in these SIEM Terms have the meaning given to them in the Master Agreement or Component Product Terms.

To the extent there are inconsistencies among the Master Agreement, the Component Product Terms and these SIEM Terms, these SIEM Terms will prevail.  For clarity, we know that certain provisions in these SIEM Terms do in fact contradict Component Product Terms (like licensing ratios), and these SIEM Terms prevail over those inconsistent terms with respect to Kaseya SIEM.

  1. KASEYA SIEM COMPONENTS AND LICENSING BASIS
    1. Licensing Basis. Kaseya SIEM is licensed on a per User basis (each a “License”).  A “User” is defined by a unique email address on a domain monitored by Kaseya SIEM.  We require that each such email address has its own License to Kaseya SIEM.  For example, if Kaseya SIEM is used to monitor Microsoft 365, a license is required for each and every Microsoft User account on that monitored domain, including each Microsoft “guest account.”  By further example, [email protected] and [email protected] are each a User and each need a Kaseya SIEM License.
    2. Minimum Licenses and Changes to License Count. Kaseya SIEM is purchased with a “Committed Minimum Quantity” (or “CMQ”) of Licenses, as set forth on the original Order, provided that a CMQ for KSIEM can never be less than one hundred (100) Licenses.  After purchase, your SIEM License count automatically increases and decreases (but, never below the CMQ amount) based on the actual Users on your Kaseya SIEM-monitored domain (for example, your Microsoft domain account), and you hereby agree to pay invoices accordingly.  A single License to Kaseya SIEM provides you with the following:
      • 1 SIEM License allows you to use SaaS Alerts Services for 1 User account on the Kaseya SIEM-monitored domain.
      • 1 SIEM License allows you to use RocketCyber Services on up to three (3) Covered Endpoints, limited to User account on the Kaseya SIEM-monitored domain.

  1. USE OF KASEYA SIEM
    1. Right to Use. Subject to your compliance with the Terms and the receipt by Kaseya of all applicable Fees, Kaseya grants you a limited, revocable, non-sublicensable, non-exclusive right and license during the applicable Committed Service Term to access and use Kaseya SIEM for the number of Licenses Ordered including any Licenses added to your Subscription after the initial Order. If a Component requires the use of Agent Software, you hereby agree to the terms of the applicable Agent Software licenses, and we grant you the non-exclusive, non-assignable, limited right to download, install and use the Agent Software solely to facilitate your access to, operation of, and/or use of Kaseya SIEM as specified in an Order. Your right to use Agent Software will terminate upon the termination of your Kaseya SIEM Subscription.
    2. Limit of Liability.  With respect to determining limits of liability as described in the Master Agreement, the Kaseya SIEM License fees paid or payable to Kaseya by you shall be divided by two (i.e., the number of Components that form Kaseya SIEM).
